【裁判摘要】合伙企业是否就经营中发生争议提起诉讼,属于合伙企业较为重大的经营事项,不能简单归于经营活动中的日常事务。如合伙协议对该事项未约定明确的表决方式,合伙企业的执行事务合伙人就该事项产生争议时,其决议适用资本多数决进行表决不利于保护中小投资者利益,亦不能体现合伙企业的人合性质,应根据《中华人民共和国合伙企业法》第三十条的规定,实行合伙人一人一票并经全体合伙人过半数通过的表决办法。[Judgment Abstract]Whether or not a partnership lodges a lawsuit regarding disputes arising from its business operations is a relatively significant business matter for the partnership and should not be simply regarded as a daily affair in business operations. Where a dispute over this matter arises among the managing partners of the partnership and the partnership agreement contains no explicit provisions on the voting method, using the rule of resolution by a majority vote is not conducive to protecting the interests of minority partners, nor can it demonstrate the personal-based partnership nature of the partnership. Hence, each partner should have one vote and over half of the votes cast by all the partners must be garnered before passing a motion, as set forth in Article 30 of the Partnership Law of the People's Republic of China.

【裁判摘要】部分当事人对一审民事判决中的部分判项提起上诉的,人民法院在二审程序中可以就当事人的上诉请求开展调解工作,对当事人达成的调解协议依法审查后,予以确认并制作调解书。调解书送达后,一审判决即视为撤销。对于上诉请求和调解书中并未涉及的其余一审判项,经审查与调解书不相冲突也未损害各方当事人合法权益的,可以在二审判决中予以确认。[Judgment Abstract]Where some of the parties concerned in the first-instance civil judgment file an appeal against some of its items, a people's court may offer mediation concerning the claims of the appellant in the second-instance trial, and should ascertain it with a mediation instrument prepared after reviewing the mediation agreement reached between the parties thereto in accordance with law. The first-instance judgment is deemed to be revoked once the mediation instrument has been served.The remaining items in the first-instance judgment, if not involved either in the appeal or the mediation instrument, can be ascertained in the second-instance judgment. This applies on the condition that, upon the review, these items are neither incompatible with the mediation instrument nor to the detriment of the lawful rights and interests of the parties concerned.

三、上海友民房地产开发有限公司诉宝山区杨行镇北宗村村民委员会借款合同纠纷案Shanghai Youmin Real Estate Development Co., Ltd. v. The Villagers' Committee of Beizong Village, Yanghang Township, Baoshan District (case regarding dispute over loan contract)
【裁判摘要】农村集体所有制企业的资产属于村民集体所有,该企业被征收后的补偿款亦属于村民集体所有。未经村民会议授权,村民委员会擅自对外签章承诺将该村集体企业的部分财产份额或企业被征收后的部分补偿款份额转让给他人的,违反了村民委员会组织法的规定,该承诺或约定应属无效。[Judgment Abstract]The assets of a rural enterprise under collective ownership shall be collectively owned by villagers, and the compensation for the expropriation of the enterprise shall also belong to the collective. If without the authorization of the Villagers' Assembly, the Villagers' Committee signs an agreement of commitment transferring to another person a portion of the enterprise's property or part of compensation for the expropriation of the enterprise, such acts shall be deemed as violating the provisions of the Law on the Organization of the Villagers' Committees, and the commitment or agreement shall be null and void.
