一、程骏平诉上海纽鑫达进出口有限公司等股东资格确认纠纷案

Cheng Junping v. Shanghai Niuxinda Import & Export Co., Ltd., et al.(case regarding dispute over confirmation of shareholder's qualifications)

【裁判摘要】

《中华人民共和国外商投资法》对外商投资采取准入前国民待遇和负面清单管理模式。外籍隐名股东诉请确认股权并显名变更登记的，隐名股东除证明自己已实际投资，且具有被认可的股东身份外，如该公司所从事领域不属于外商投资负面清单范围的，人民法院可确认其变更为显名股东；如该公司所从事领域属于负面清单内的限制类领域，还应征得外商投资主管机关的同意。

[Judgment Abstract]

The Foreign Investment Law of the People's Republic of China stipulates that foreign investment in China is subject to a pre-establishment national treatment and a negative list management system. Any foreign anonymous shareholder who files for confirmation of its equities and registration of its name change shall have a recognized shareholder status apart from proving its investment in reality. If the business scope of the company falls outside the negative list for foreign investment, the people's court may then confirm it as having been changed into a registered shareholder, or if its lines of business are those restricted in the negative list, the approval of competent foreign investment authorities should also be obtained.

二、曾海波诉长沙市岳麓区交通运输局等行政处罚及行政复议案

Zeng Haibo v. Transport Bureau of Yuelu District, Changsha, et al. (case of administrative penalty and reconsideration)

【裁判摘要】

私人小客车合乘（亦称拼车、顺风车）并非道路运输经营行为，不属于《中华人民共和国道路运输条例》的调整范围，对该行为的行政监管应遵循处罚法定原则。

合乘平台是合乘服务信息的提供者，对合乘信息负有相应审查义务，合乘平台提供的合乘信息受到政府部门监管的，车主基于对政府监管的合理信赖而按照平台所提供信息而实施的合乘行为应受到法律保护。行政机关基于该信息认定车主行为构成违规搭乘对其进行行政处罚的，人民法院不予支持。

[Judgment Abstract]

Ride-sharing of private cars (or carpooling) falls outside the operation matters to be adjusted under the Regulations of the People's Republic of China on Road Transport as it is not an act of transport business operations, whereby it should be subject to the administrative supervision and administration under the principle of statutory penalty.

Ride-sharing platforms, as information providers of ride-sharing services, are obliged to conduct examinations on ride-sharing information. If the ride-sharing information provided by a platform is under the supervision and administration of government authorities, the ride-sharing services should be protected by law as long as the driver provides such services according to the platform information based on reasonable reliance on governmental supervision and administration. Where an administrative organ deems that a driver's ride-sharing act constitutes illegal car riding and imposes on the driver an administrative penalty, the people's court shouldn't support the administrative organ's decision.

三、顾某甲、顾某乙、顾某丙申请指定遗产管理人案

Case of Gu A, Gu B, and Gu C's Application for Designating an Estate Administrator

【裁判摘要】

继承开始后，没有继承人的，对被继承人没有法定扶养义务但事实上扶养较多的人，符合《中华人民共和国民法典》第一千一百三十一条规定“可以分给适当的遗产”的条件，遗产的妥善保管与其存在法律上的利害关系，其有权向人民法院申请指定遗产管理人。

[Judgment Abstract]

Where, after the opening of succession, there is no successor, “an appropriate share of the estate may be given to” a person who does not bear the statutory duty to support the decedent, but is indeed largely responsible for supporting the decedent as prescribed in Article 1131 of the Civil Code of the People's Republic of China. Since the person has a legal interest in the proper keeping of the estate, he or she is entitled to apply to the people's court for designating an estate administrator.
